Terms of Service

Welcome to billtime. These Terms of Service ("Terms") govern your use of our website (billtime.in), services, and any software products we develop. By engaging our services or using our website, you agree to be bound by these Terms.

1. Services

billtime provides the following services:

• Custom software development and web application development
• Mobile application development (iOS and Android)
• Cloud hosting and infrastructure management
• AI and machine learning solutions
• Digital marketing and SEO services
• POS (Point of Sale) and billing software (billtime ERP)

All services are provided on a project basis unless otherwise agreed in a separate service agreement.

2. Project Engagement

2.1 Quotations and Proposals

All quotations and proposals are valid for 30 days from the date of issue. Prices are quoted in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise.

2.2 Project Scope

Project scope, deliverables, timelines, and pricing are defined in the signed Project Agreement or Statement of Work (SOW). Any changes to the agreed scope may result in additional charges and timeline adjustments.

2.3 Client Responsibilities

Clients are responsible for:

• Providing timely access to required resources, data, and systems
• Reviewing and providing feedback on deliverables within agreed timeframes
• Ensuring they have the right to provide any content or data used in the project
• Designating a single point of contact for project communications

3. Payment Terms

3.1 Billing

Payment terms are specified in the Project Agreement. Standard terms are:

• Fixed-price projects: 50% advance, 50% on completion
• Monthly retainer: Due on the 1st of each month
• Hourly projects: Billed bi-weekly

3.2 Late Payments

Payments not received within the agreed timeframe will incur a late fee of 2% per month on the outstanding amount. Services may be suspended if payment is delayed by more than 15 days.

3.3 Refunds

Refund requests are handled according to our Refund Policy. Advance payments for undelivered work may be refunded minus any costs already incurred.

4. Intellectual Property

4.1 Client Ownership

Upon full payment, the client owns all intellectual property rights to the custom software, designs, and deliverables created specifically for the project.

4.2 billtime Rights

billtime retains ownership of:

• Pre-existing tools, libraries, and frameworks used in development
• General knowledge, skills, and methodologies developed during the project
• Any open-source components used (subject to their respective licenses)

4.3 Portfolio Rights

Unless otherwise agreed, billtime may showcase completed projects in our portfolio and marketing materials. Client-specific confidential information will not be disclosed.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business plans, technical specifications, user data, and financial information. This obligation survives the termination of the agreement for 2 years.

6. Warranties and Limitations

6.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. All deliverables will conform to the specifications agreed in the Project Agreement.

6.2 Warranty Period

All projects include a 30-day warranty period from final delivery, during which we will fix any bugs or defects at no additional cost. Issues arising from client modifications, third-party integrations, or force majeure events are excluded.

6.3 Limitation of Liability

To the maximum extent permitted by law, billtime's total liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

7. Termination

7.1 By Client

Clients may terminate a project with 14 days' written notice. Payment is due for all work completed up to the termination date, including any non-refundable third-party costs incurred.

7.2 By billtime

We may terminate a project if:

• Payment is delayed by more than 30 days
• The client breaches material terms of the agreement
• The project requirements become technically infeasible

8. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

1. Informal Resolution: Parties will first attempt to resolve disputes through good-faith negotiation
2. Mediation: If negotiation fails, disputes will be submitted to mediation in Coimbatore, Tamil Nadu
3. Arbitration: If mediation fails, disputes will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996

These Terms are governed by the laws of India, and the courts of Coimbatore, Tamil Nadu shall have exclusive jurisdiction.

9. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, or other force majeure events.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
